OHADA Law
Legal uncertainty is one of the main obstacles to investment development in Africa,
particularly for foreign investment. This legal uncertainty is due to the obsolescence of legal texts in force in certain states, as well as the difficulty in knowing, in a given case, the applicable legal norm. To address these issues, a treaty was signed in 1993 establishing the OHADA (Organisation for the Harmonization of Business Law in Africa), with the main goal of unifying business law.
Today, OHADA includes 16 member states (Benin, Burkina Faso, Cameroon, Comoros, Congo, Ivory Coast, Gabon, Guinea, Guinea-Bissau, Equatorial Guinea, Mali, Niger, Central African Republic, Senegal, Chad, Togo).
We advise companies and individuals wishing to do business in countries governed by OHADA law or wishing to establish themselves there by setting up a company or creating a business. Our experience and our network allow us to support our clients through all the necessary steps for their activity.
Corporate Law
We advise our clients at every stage of a company's life.
During the incorporation process, we help them determine the most suitable legal form for their project (LLC, Corporation, SAS, etc.) as well as the appropriate executive status and ensure the follow-up of formalities.
We support them throughout the company's existence: We take care of the company's legal secretariat (general meetings, board meetings), assist them in restructuring operations (capital increases, transfers of shares, acquisitions, mergers, divestitures, etc.).
Finally, we assist them in all litigation related to corporate law, especially shareholder disputes (abuse of majority, abuse of minority, challenges to general meetings, etc.).
Business Law
We support our clients in handling all legal questions related to the life of business in the following areas:
Contract Law: We guide our clients through the negotiation and drafting of various commercial contracts. Our role is to advise companies in optimizing their contractual relationships to ensure their success.
Businesses in Difficulty: We are here to support companies at every stage of their financial challenges. From preventing difficulties through procedures such as ad hoc mandates or amicable settlements, to assistance in recovery or judicial liquidation procedures, we ensure the preservation of creditors' rights and the safeguarding of the business.
Commercial Law: We advise our clients on drafting, negotiating commercial leases, and on the acquisition or sale of business assets.
Legal Sports representative
Our mission is to advise and assist athletes throughout their professional career and beyond its conclusion.
We intervene in both sports-related and extracurricular areas, including:
- Representation contracts (between athletes and agents)
- Review, drafting, and negotiation of contracts
- Sports accidents
- Image rights and privacy
- Termination of athletes' contracts and appeals
- Associative activity
- Organization and promotion of physical and sports activities
We also support and advise amateur athletes in their relations with the federations to which they are affiliated.
